Joseph is a corporate, securities, and venture capital lawyer working exclusively with
and the venture capitalists and angels who fund such companies. Joseph specializes and
experience in preferred share issuances and convertible note financings (company-side
investor-side), M&A, private debt financings, licensing and other commercial agreements,
joint venture partnerships, equity compensation, and corporate governance.
Prior to founding Nivaro.law, Joseph worked for a number of years at the leading Danish
law firm of
Kromann Reumert and at one of the leading law firms in Israel. He has also worked in the
department of a large Danish listed company.
Joseph’s clients range from unfunded founders to mid- and late-stage private companies.
Most of Joseph’s
clients are tech companies including software, SaaS, wireless, health tech, mobile,
device, biotech, clean tech, and game companies.
Joseph obtained his law degree (cand.jur/LL.M) from the University of Copenhagen in
2002. He has taught
international contract law at the University of Copenhagen (2004-2005).
He is a member of the Danish Bar Association, the Copenhagen Lawyers’ Association. He is
practice law in Denmark and to practice law as a foreign lawyer in Israel.
Joseph is fluent in Danish, English, Italian and Spanish and he also speaks Hebrew and
Rasmus is a Danish commercial lawyer, with solid experience and strong track record of
private, public and private equity owned companies. Rasmus has a legal background with
business-like mindset. He has large experience with cross-border transactions, extensive
economic, social and regulatory issues and he is capable of identifying new
opportunities and solutions
to the benefit of his clients.
Ciara is an Australian qualified attorney with experience in matters relating to
corporate law and, wealth and estate planning.
Ciara has more than 13 years experience in negotiating, advising on and drafting a broad
commercial agreements including mergers and acquisitions, shareholder and management
agreements, joint ventures and share sale agreements. She also advises on corporate
diligence and corporate transactions generally.
Ciara is also experienced in wealth and estate planning for high net worth individuals.
She has sat on
several fiduciary boards and acts as trustee on numerous structures.
Samuel is a U.S. (NY and Delaware) and Israeli qualified attorney with extensive
experience in matters
relating to U.S. securities law and the requirements for companies traded publicly in
the United States,
including IPOs, annual reports, proxy statements, Form D, mergers and acquisitions and
governance. He represents clients in token offerings, including security tokens and
utility tokens and
related matters. He has significant experience in private fund formation, including
private equity and
venture capital funds, and represents clients in negotiation and preparation of fund
ongoing operation of funds.
Samuel also has significant experience in secured and unsecured credit facilities, and
clients in venture and other debt financing.
